End-User License Agreement

1. Scope

This agreement governs use of the IntuitiveMotion Accounting Connector (“the Software”), an internal application operated by IntuitiveMotion.AI Inc (“the Company”). The Software is provided solely for the Company’s own accounting operations and is not distributed, licensed, or made available to any third party.

2. Permitted use

Authorised Company personnel may use the Software to read accounting data from the Company’s QuickBooks Online company and to prepare accounting analyses and draft entries. Use by anyone else, or connection of any QuickBooks company other than the Company’s own, is not permitted.

3. Restrictions

The Software may not be copied, redistributed, sublicensed, sold, or offered as a service to third parties. It may not be used to access accounting data belonging to any other business.

4. Accounting responsibility

The Software assists with accounting work; it does not perform it. Any journal entry, adjustment, or other change to the accounting records that the Software proposes is subject to review and approval by a qualified person before it is recorded. Output is not accounting, tax, audit, or legal advice, and the Company remains responsible for the accuracy of its books and for compliance with applicable reporting obligations.

5. Intuit services

The Software accesses QuickBooks Online through Intuit’s published APIs and depends on their availability. Use of QuickBooks Online remains subject to the agreements between the Company and Intuit. Nothing here modifies those terms, and Intuit is not a party to this agreement.

6. Data

Handling of accounting data is described in the Privacy Policy, which forms part of this agreement.

7. No warranty

The Software is provided “as is”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Software.

9. Termination

Access may be withdrawn at any time. Disconnecting the Software from QuickBooks Online revokes its access and terminates use under this agreement.

10. Governing law

This agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.
